Justin Heineman focuses his practice on mergers and acquisitions, capital markets, and corporate governance matters. He has over 20 years of experience advising public and private companies on complex domestic and cross-border merger and acquisition transactions, public offerings and private placements of equity and debt securities, corporate governance issues, and securities regulatory matters. As a former general counsel to a public company, Justin approaches issues from the client’s perspective, and understands the critical importance of excellent service delivery in the lawyer-client relationship.
Justin’s broad M&A experience includes advising public and private mid-market and large-cap companies in domestic and international acquisitions, serial acquisition programs, divestitures, joint ventures, and other strategic transactions of varying size and complexity. His capital markets experience includes registered initial and follow-on public offerings, Rule 144A and traditional private placements, “shelf” registrations, “at-the-market” equity offerings, and other transactions. Justin also counsels public company boards, executives, and investor relations professionals on corporate governance issues, SEC disclosure and compliance requirements, and other general corporate matters.
